Corporate Law

We advise Polish and foreign companies operating in Poland, providing ongoing legal support on matters relating to their operations, development and organisational changes. We assist both start-ups and well-established companies, tailoring the scope of our services to their structure, scale of operations and business needs.

We support management boards, supervisory boards, partners and shareholders in making corporate decisions and in the proper fulfilment of their obligations arising from legislation, articles of association and resolutions of corporate bodies. We ensure that the actions taken by the company are not only compliant with applicable regulations, but also align with its business objectives.

We help clients choose the appropriate legal form for their business and prepare the documentation necessary to commence the company’s operations in Poland. We assist in drafting the articles of association or statutes, establishing rules of representation, defining the relationships between partners, and completing the registration process.

We also advise on subsequent organisational changes, such as the entry of a new partner, the sale of shares, a capital increase, changes to the governing bodies, a change of registered office or business purpose, and the adaptation of the company’s documentation to changing business needs.

We provide support in organising and conducting partners’ meetings and general meetings of shareholders. We prepare draft resolutions, agendas, powers of attorney and minutes, and we analyse the correctness of the procedures for convening meetings and adopting resolutions. We also offer assistance and representation during meetings, helping to ensure proceedings are conducted correctly and safeguarding the interests of the company, its members or shareholders. Where necessary, we also assess the implications of adopted resolutions and advise should they be challenged.

We support foreign companies and investors planning to launch or expand their operations on the Polish market. We assist in selecting the appropriate organisational structure, incorporating a company, preparing corporate documentation and completing registration formalities.

We explain how Polish companies operate, the powers of their governing bodies, and the obligations associated with conducting business in Poland. Where necessary, we also coordinate cooperation with notaries, translators and other advisers involved in the process of setting up a business.

Our aim is to provide our clients with efficient, transparent and tailor-made corporate services. We help to minimise formal and legal risks, streamline internal processes and make decisions that support the company’s stable growth.
