M&A | Contract Law
We are involved in the entire transaction process — from the initial assessment of the planned investment and the development of its structure, through due diligence and the negotiation of transaction terms, to the preparation and signing of the transaction documentation. We analyse potential legal, corporate and business risks, identify areas requiring particular attention and help devise solutions to safeguard our clients’ interests.
Furthermore, we provide comprehensive advice on the preparation, negotiation, review and performance of contracts relating to the day-to-day operations of businesses. We help clients create contractual solutions that clearly define the rights and obligations of the parties, minimise the risk of disputes and meet the actual needs of their business.
We draft both individual contracts and comprehensive cooperation frameworks, including model contracts, regulations, general terms and conditions of cooperation, and procedures for concluding and performing contracts. We analyse documentation in terms of its legal compliance, business security, the liability of the parties, settlement rules and the possibility of effectively pursuing claims.
When working on contracts, we focus not only on their formal correctness but also on the practical consequences of the provisions adopted. We draw attention to potential sources of risk, imprecise provisions, one-sided obligations, liability mechanisms and situations in which the client may have limited scope to amend or terminate the contract.
During negotiations, we support clients in protecting their interests, whilst seeking solutions that enable them to commence or continue their cooperation efficiently. In the case of existing contracts, we assist in assessing their performance, preparing amendments, addenda and notices of termination, as well as responding to breaches of obligations by the other party.
Our aim is to provide clients with legal certainty at every stage of a transaction and business relationship — from the initial business discussions, through the conclusion of the contract, to its proper performance.
